This is a reference translation of the Japanese original. If there is any discrepancy between this English version and the Japanese version, the Japanese version prevails.

These Terms of Use (the "Terms") apply to everyone who receives a business card and uses "AI Meishi" (including the LINE MINI App and the card pages; the "Service") provided by NETSTARS CO., LTD. (the "Company") (each, a "User"). Users shall use the Service after agreeing to these Terms.

Article 1 (The Service)

  1. The Service lets Users ask questions about the products and services of a company (the "Issuing Company") through a business card of its sales representative, and receive answers from an AI assistant or the sales representative.
  2. The Service includes the card holder, the inquiries list, My card, and other features specified by the Company.
  3. The Service is free of charge. Data communication charges are borne by the User.

Article 2 (Answers by the AI assistant)

  1. The AI assistant automatically generates answers based on the card and materials registered by the Issuing Company. Answers are for reference only, and neither the Company nor the Issuing Company guarantees their accuracy, completeness or currency.
  2. The AI assistant does not answer or make commitments about prices, discounts, contract conditions, delivery dates or other terms of trade. These are explained directly by the Issuing Company's sales representative.
  3. Answers by the AI assistant do not constitute a declaration of intent, offer or acceptance by the Issuing Company or the Company.

Article 3 (Relationship with the Issuing Company)

  1. Negotiations, contracts and other transactions between a User and an Issuing Company take place between the User and the Issuing Company; the Company is not a party to them.
  2. When a User starts a conversation, its contents and related information are provided to the Issuing Company. See the Privacy Policy for details.

Article 4 (Prohibited conduct)

When using the Service, Users must not:

  1. violate laws, regulations or public order and morals;
  2. impersonate others or enter false information;
  3. defame, or infringe the rights of, the Issuing Company, its sales representatives, the Company or any other third party;
  4. enter input to the AI assistant that attempts to rewrite its system instructions, or otherwise try to obtain answers for purposes other than the intended use;
  5. place an excessive load on the Service's servers or network, or access the Service in bulk by automated means;
  6. interfere with the operation of the Service or attempt unauthorized access; or
  7. engage in any other conduct the Company deems inappropriate.

Article 5 (Changes and suspension)

The Company may change the Service without prior notice to Users, and may suspend all or part of the Service for maintenance, failures, natural disasters or other unavoidable reasons. If an Issuing Company suspends or deletes a card, that card can no longer be used.

Article 6 (Restriction of use)

If a User violates these Terms, or where the Company otherwise deems it necessary, the Company may restrict that User's use of the Service without prior notice.

Article 7 (Disclaimer)

  1. The Company does not warrant that the Service is free from defects in fact or in law.
  2. The Company is not liable for damage incurred by a User from using or being unable to use the Service, except where caused by the Company's intent or gross negligence.
  3. Notwithstanding the preceding paragraph, where the Company's liability cannot be excluded under the Consumer Contract Act of Japan or other laws, the Company's liability is limited to direct and ordinary damage caused by the Company's negligence (excluding gross negligence).

Article 8 (Personal information)

The Company handles personal information in the Service in accordance with the AI Meishi Privacy Policy.

Article 9 (Changes to these Terms)

The Company may change these Terms in accordance with the provisions on standard terms of the Civil Code of Japan. When it does so, it will announce the changed contents and their effective date on the Service or on the Company's website.

Article 10 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute relating to the Service.
